Becon Health Pty Ltd

This online platform (Platform) is operated by Becon Health Pty Ltd ABN 87 621 856 666, its successors and assignees (Becon Health, we, our or us). It is available at: https://www.beconhealth.com/ and may be available through other addresses or channels.

In these terms and conditions (Terms), Platform refers to Becon Health’s marketplace regardless of how a user accesses it. The Platform connects allied health providers (Allied Health Providers) with individuals seeking the services of an Allied Health Provider (Clients) by facilitating introductions between Allied Health Providers and Clients, including by providing a directory of Allied Health Providers on the Platform. Allied Health Providers and Clients are together referred to as Users.

Medical emergencies: If a you require immediate medical attention, contact your treating general practitioner or call 000, or your local emergency number in the country where you are located.

DO NOT USE THE PLATFORM IF:

You have or think you may have an emergency or critical condition or symptom, including, but in no way limited to:

  • Severe chest pain
  • Heart attack
  • Stroke
  • Loss of consciousness
  • Severe bleeding
  • Breathing difficulty

If you are in doubt about the seriousness of your condition, the appropriateness or effectiveness of using Becon Health’s Platform or believe that you, or anyone is in an urgent, dangerous or emergency situation, you should not use the Platform and instead contact 000 (or your local emergency number in the country where you are located) immediately or seek alternative and appropriate medical services.

Becon Health and its employees, consultants, suppliers, subcontractors or agents (Personnel), are not doctors. Users agree that any information, insights or guidance contained on Becon Health’s Platform, whether or not it is published by Becon Health, is not an attempt by Becon Health to practice medicine or provide medical advice. It is not to be used or relied on for any diagnostic or treatment purposes. Use of Becon Health’s Platform does not establish a doctor-patient relationship with Becon Health. Becon Health facilitates a User’s use of the Platform only.

Consent: By accessing and/or using the Platform and/or registering for an Account (Account), each User (i) warrants to Becon Health that she, he or it has reviewed these terms and conditions, including the Privacy Policy (available on the Platform) (Terms), with her or his parent or legal guardian (if the User is under 18 years of age) and she, he or it understands them; (2) warrants to Becon Health that she, he or it has the legal capacity to enter into a legally binding agreement with Becon Health or (if the User is under 18 years of age) she or he has her or his parent’s or legal guardian’s permission to access and use the Platform and they have agreed to the Terms on the User’s behalf; and (3) agrees to use the Platform in accordance with these Terms.

If a User is a parent or legal guardian permitting a person who is at least 13 years of age but under 18 years of age (a Minor) to create an Account and/or use the Site, the User agrees to: (i) supervise the Minor’s use of the Site and their Account; (ii) assume all risks associated with, and liabilities resulting from, the Minor’s use of the Site and their Account; (iii) ensure that the content on the Site is suitable for the Minor; (iv) ensure all information submitted to us by the Minor is accurate; and (v) provide the consents, representations and warranties contained in the Terms on the Minor’s behalf.

Platform Summary

  1. The Platform connects Clients with Allied Health Providers and allows Clients to access Allied Health Provider services (Allied Health Provider Services). On the Platform, Clients may:
    1. make appointments or schedule regular appointments and then consult with an Allied Health Provider on their mobile device or computer (Device) using Becon Health’s online video conferencing service (Video Conferencing Service);
    2. browse the directory of Allied Health Providers on the Platform and filter results;
    3. make payments for Allied Health Provider Services; and
    4. receive advice from Allied Health Providers online.
  2. An Allied Health Provider with the ability to perform Allied Health Provider Services (1) creates an Account on the Platform and (2) posts an accurate and complete description of the Allied Health Provider Services offered by that Allied Health Provider (including the fee or price to be paid by the Client) (Listing). By creating a Listing, an Allied Health Professional confirms that she or he is legally entitled to and capable of suppling the Allied Health Professional Services outlined in the Listing.
  3. Users can review the Listings uploaded by Allied Health Providers and the directory of Allied Health Providers available on the Platform without creating an Account. A Client with a requirement for Allied Health Provider Services must create an Account on the Platform in order to book an appointment with an Allied Health Provider (Booking). Clients may enter details of their healthcare needs on the Platform and they will be provided with a list of Allied Health Providers, their availabilities and other information. Clients may then pay for and make a Booking with an Allied Health Provider.
  4. Once a Client has made a Booking, the Client and the Allied Health Provider may communicate with one another using functionality on the Platform. Allied Health Providers can conduct their consultations using the Video Conferencing Service. Users are required to have a sufficient data allowance and internet bandwidth to support the use of the Video Conferencing Service.
  5. A Booking is deemed to have taken place once the time and date for the Booking has elapsed, unless we are notified otherwise (Completed Appointment).
  6. Users understand and agree that the Platform is an online introductory platform only, and that our responsibilities are limited to facilitating the User functionality availability of the Platform. Becon Health is not an employment agency or labour hire business and Allied Health Providers are not Becon Health’s employees, contractors, partners or agents.
  7. Any arrangement between a Client and an Allied Health Provider is solely between a Client and that Allied Health Provider. It is strictly and expressly not part of the User’s agreement with Becon Health.
  8. Becon Health has no control over the conduct of Clients or Allied Health Providers and any other user of the Platform. Becon Health disclaims all liability in this regard, as set out in these Terms.

Registration and Profiles

  1. Each User may only have one Account on the Platform. Users can browse and view the Platform as an unregistered user of the Platform.
  2. Users must provide basic information when registering for an Account including name, email address, and location details. Allied Health Providers must provide additional information to register for an Account as set out in “Allied Health Providers Warranties and Obligations” below.
  3. Users may register for an Account using a relevant Google+, Facebook or other social media network account (Social Media Account). If a User signs in to its Account using its Social Media Account, that User authorises Becon Health to access certain information on its Social Media Account including but not limited to its profile picture and location details.
  4. Once a User has registered an Account, the User’s account information will be used to create a profile which the User may then curate (Profile).
  5. Users must provide accurate, current and complete information during the registration process and Users agree to update such information to keep it accurate, current and complete. An Allied Health Provider warrants that she or he will update Becon Health as soon as practicably possible if any information provided as part of the Account registration process becomes out of date. Allied Health Providers must regularly update their availabilities on the Platform and Becon Health will send prompts if an Allied Health Provider has not updated their availability after an extended period of time.
  6. A User is responsible for keeping its Account and Profile details, including its username and password confidential. A User is liable for all activity on its Account, including purchases made using that User’s Account details, whether or not the User authorised such activities or actions.
  7. Users will immediately notify Becon Health of any unauthorised use of its Account.
  8. At Becon Health’s sole discretion, Becon Health may refuse to allow any person to register or create an Account.

Ratings and Testimonials

  1. Clients are permitted to rate (Rating) or provide feedback (Testimonial) to Becon Health after a Completed Appointment. Clients are not permitted to review the clinical services (i.e. the Allied Health Provider Services) on the Platform. Clients may provide Testimonials regarding the Allied Health Provider’s promptness in attending a Booking, or promptness in contacting a Client and other matters which are not reviews of the Allied Health Provider Services. Becon Health may remove any Testimonial which provides a review of the Allied Health Provider Services.
  2. Ratings and Testimonials can be viewed by any user and will remain viewable until the relevant Allied Health Provider’s Account, Profile or Listing is removed or terminated.
  3. Clients must provide true, fair and accurate information in their Testimonial.
  4. If we consider that a Testimonial is untrue, unfair, inaccurate, offensive or inappropriate, or otherwise provides a review of the Allied Health Provider Services (in contravention of rules set out by the Australian Health Practitioner Regulation Agency) we may delete the Testimonial or ban the Client from posting the Testimonial. We do not undertake to review each Testimonial made by a Client.
  5. To the maximum extent permitted by law, we are not responsible for the content of any Testimonial.

Forum

  1. The Platform has a forum on which Users are able to communicate.
  2. Becon Health asks Users to limit discussions to topics which are relevant to the Platform.
  3. Becon Health reserves the right to remove any posts which Becon Health, in its sole discretion, deems to be inappropriate.

Fees and Payments

  1. For the purposes of these Terms, the following definitions apply:
    1. Clients pay a fee to receive the Allied Health Provider Services and to make a Booking (Booking Fee).
    2. Allied Health Providers charge Clients a fee to provide the Allied Health Provider Services, including to hold consultations (Allied Health Provider Fee).
    3. Becon Health charges Clients and Allied Health Providers a service fee, set out on the Platform, for connecting a Client and an Allied Health Provider (Service Fee).
  2. It is free to register an Account on the Platform. There is no charge for an Allied Health Provider to create a Listing, or for Users to review content on the Platform, including Listings.
  3. A Client must pay the Booking Fee and the Service Fee for a Booking when making a Booking.
  4. Clients may also opt to establish a recurring Booking. Clients may select the frequency of Bookings, for example weekly, fortnightly or monthly and select the total number of Bookings. Clients are required to pay the Booking Fee and Service Fee for each recurring Booking prior to the Booking taking place.
  5. Allied Health Provider Fees minus the Service Fee will be released to the Allied Health Provider weekly, for all Completed Appointments for that week. Until release, the Allied Health Provider Fees will be held in an escrow account by our third party payment processor.
  6. Any payments will be made through our third party payment processor, currently Assembly Payments, or by any other payment method set out on the Platform.
  7. We may change the fee and payment terms applying to the Platform at our sole discretion and any change is immediately effective upon us publishing the change on the Platform and will apply to any use of the Platform following the change.
  8. To the extent permitted by law, our Service Fee is non-cancellable and non-refundable.

Refund and Cancellation Policy

  1. Clients may cancel or reschedule a Booking if the Client notifies Becon Health, in writing including via email or via Platform functionality, no later than 48 hours before the Booking is due to commence.
  2. If the Client notifies Becon Health of the cancellation no later than 48 hours before the Booking is due to commence, the Client will receive a full refund of the Booking Fee.
  3. If a Client attempts to cancel a Booking within 48 hours of the time an Booking is due to commence, the Booking Fee will not be refunded to the Client.
  4. If an Allied Health Provider does not attend a Booking or cancels a Booking, the Client will receive a refund of the Booking Fee.

Limited Payment Collection Agent

  1. Each Allied Health Provider appoints Becon Health as the Allied Health Provider’s limited payment collection agent solely for the purpose of accepting the Allied Health Provider Fee from the Client.
  2. Allied Health Providers agree that payment of the Allied Health Provider Fee by Clients to Becon Health (as the Allied Health Provider’s limited payment collection agent) is to be considered the same as payment made directly by the Client to the Allied Health Provider.
  3. As the limited payment collection agent for the Allied Health Provider, Becon Health agrees to facilitate the payment of the Allied Health Provider Fee for Completed Appointments. In the event that Becon Health does not remit the Allied Health Provider Fee minus the Service Fee as set out in the Fees and Payment clause above, Allied Health Providers will only have recourse against Becon Health.

Licence to use our Platform

Becon Health grants Users a non-exclusive, royalty-free, revocable, worldwide, non-transferable licence to use the Platform in accordance with these Terms.  All other uses are prohibited without Becon Health’s prior written consent.

Prohibited conduct

Users must not do, or attempt to do, anything that is unlawful; anything prohibited by any laws which apply to the Platform or which apply to the User or the User’s use of the Platform; anything which Becon Health would consider inappropriate; or anything which might bring Becon Health or the Platform into disrepute, including (without limitation):

  1. as an Allied Health Provider, to pose or impersonate as another individual or Allied Health Provider, to misrepresent any qualifications or to mislead or deceive Becon Health regarding the holding of any qualifications;
  2. to record, through audio, video or via any other means, a Booking;
  3. anything that would constitute a breach of an individual’s privacy (including uploading private or personal information without an individual's consent) or any other legal rights;
  4. using the Platform to defame, harass, threaten, menace or offend any person;
  5. interfering with any other User using the Platform;
  6. tampering with or modifying the Platform, knowingly transmitting viruses or other disabling features, or damaging or interfering with the Platform, including (without limitation) using trojan horses, viruses or piracy or programming routines that may damage or interfere with the Platform;
  7. anything that might violate any local, state, national or other law or regulation or any order of a court, including, without limitation, zoning and tax regulations;
  8. as an Allied Health Provider, offer an Allied Health Provider Services that it does not intend to honour, cannot provide or which it is not qualified or sufficiently experienced to provide;
  9. using the Platform to find a Client or an Allied Health Provider and then completing a Booking or transaction independent of Becon Health’s Platform in order to circumvent the obligation to pay any fees related to Becon Health’s Platform. Please note that our Service Fee is payable irrespective of whether a Booking takes place using the Video Conferencing Service or offline in person;
  10. using our Platform to send unsolicited email messages; or
  11. facilitating or assisting a third party to do any of the above acts.

Exclusion of competitors

You are prohibited from using our Platform, including the information and materials available on it (Content), in any way that competes with our business.  If you breach this term, we will hold you responsible for any loss, damage or expense, howsoever arising, whether direct or indirect and/or whether present, unascertained, future or contingent (Liability) we suffer, and hold you accountable for any profits that you may make from non-permitted use.

Information

The Content is not comprehensive and is for general information purposes only.  It does not take into account a User’s specific needs, objectives or circumstances, and is not advice.  While Becon Health uses reasonable attempts to ensure the accuracy and completeness of the Content, Becon Health makes no representation or warranty regarding it, to the extent permitted by law. The Content is subject to change without notice. However, Becon Health does not undertake to keep the Platform up-to-date and Becon Health is not liable if any Content is inaccurate or out-of-date.

Intellectual Property rights

Unless otherwise indicated, we own or licence all rights, title and interest (including intellectual property rights) in our Platform and all of the Content. Your use of our Platform and your use of and access to any Content does not grant or transfer to you any rights, title or interest in relation to our Platform or the Content.

You must not, without the prior written consent of ourselves or the owner of the Content (as applicable):

  1. copy or use, in whole or in part, any Content;
  2. reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any Content to any third party; or
  3. breach any intellectual property rights connected with our Platform, including (without limitation):
    1. altering or modifying any of the Content;
    2. causing any of the Content to be framed or embedded in another website; or
    3. creating derivative works from the Content.

User Content 

  1. You may be permitted to post, upload, publish, submit or transmit relevant information and content, including Testimonials (User Content) on the Platform.  By making available any User Content on or through our Platform, you grant to us a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free licence to use the User Content, with the right to use, view, copy, adapt, modify, distribute, license, sell, transfer, communicate, publicly display, publicly perform, transmit, stream, broadcast, access, or otherwise exploit such User Content on, through, or by means of our Platform or through our other channels or social media channels, including but not limited to Facebook, Twitter and LinkedIn.
  2. You agree that you are solely responsible for all User Content that you make available on or through our Platform.  You represent and warrant that:
    1. you are either the sole and exclusive owner of all User Content or you have all rights, licences, consents and releases that are necessary to grant to us the rights in such User Content as contemplated by these Terms; and
    2. neither the User Content nor the posting, uploading, publication, submission or transmission of the User Content or our use of the User Content on, through or by means of our Platform will infringe, misappropriate or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
  3. We do not endorse or approve and are not responsible for any User Content. We may, at any time at our sole discretion, remove any User Content.
  4. Third party sites: Our Platform may contain links to websites operated by third parties.  Unless expressly stated otherwise, we do not control, endorse or approve and are not responsible for the content on those websites.  You should make your own investigations with respect to the suitability of those websites. 
  5. Discontinuance: We may, at any time and without notice to you, discontinue our Platform, in whole or in part.  We may also exclude any person from using our Platform, at any time at our sole discretion. We are not responsible for any Liability you may suffer arising from or in connection with any such discontinuance or exclusion.

Allied Health Provider Warranties and Obligations 

  1. Allied Health Providers should report to Becon Health any activities or requests of a Client which are, or the Allied Health Provider reasonably believes to be suspicious, illegal or likely to have a negative effect on the reputation of Becon Health, the Platform or another User. 

  2. Each Allied Health Provider acknowledges that while the Platform allows communication with Clients, Allied Health Providers are not permitted to share the contact details or personal information of a Client.

  3. Allied Health Providers must meet certain thresholds when using the Platform. Allied Health Providers warrant that by accessing the Platform and/or creating an Account, that they:

    1. are appropriately qualified and have met and continue to meet state and federal rules and regulations and any industry standards regarding qualifications for their type of Allied Health Provider;

    2. will provide Becon Health with evidence of relevant and up to date qualifications within a reasonable time of Becon Health making a request, or no later than three business days after Becon Health makes a request;

    3. will treat any personal information, including sensitive personal information, regarding a Client in accordance with Becon Health’s Privacy Policy, the Australian Privacy Principles as they apply to health Allied Health Providers set out in the Privacy Act 1988 (Cth) and any other applicable privacy laws;

    4. have a privacy policy or privacy statement in place and available to Clients, as required by the Privacy Act 1988 (Cth), setting out how the Allied Health Provider deals with personal information it receives and handles;

    5. will provide referrals to appropriate medical professionals or other third parties, where the scope of assistance required by a Client is outside what the Allied Health Provider is qualified to provide;

    6. will not provide any form of prescription for prescription medicine, unless qualified to do so;

    7. will hold memberships, where applicable, of relevant industry associations and professional bodies and will comply with any professional guidelines or codes of conduct applicable to those industry associations or professional bodies;

    8. obtain and maintain professional liability insurance which covers telehealth;

    9. have no criminal convictions; and

    10. if the Allied Health Provider is a provider registered overseas, that it will comply with equivalent local laws in its country of registration regarding the matters outlined above.

  4. Allied Health Providers are required to provide evidence of their formal qualifications to Becon Health. Becon Health will verify an Allied Health Provider’s credentials with the relevant professional association. If an Allied Health Provider does not hold the stated qualifications or the qualifications are out of date, Becon Health will not provide the Allied Health Provider with an Account.

  5. Allied Health Providers are responsible for complying with all laws, including complying with all tax laws, in the Allied Health Provider’s state or country of residence.

  6. An Allied Health Provider is responsible for all advice provided during a Booking as well as any other communication, suggestions, treatments, diagnoses or lack thereof.

  7. Allied Health Providers must pay all costs relating to their use of the Platform (including internet costs and computer costs).

Warranties, disclaimers and indemnity

To the extent permitted by law, Becon Health makes no representations or warranties about the Platform, the Content, Allied Health Providers, Clients, Listings, or Allied Health Provider Services including (without limitation) that:

  1. they are complete, accurate, reliable, up-to-date and suitable for any particular purpose;
  2. access will be uninterrupted, error-free and free from viruses;
  3. the Platform will be secure;
  4. Allied Health Provider Services will be requested by Clients or that Clients will find appropriate Allied Health Providers;
  5. Allied Health Provider Services are of a particular standard or meet the Listing description.

A User reads, uses, and acts on the Platform and the Content at its own risk.

Limitation of liability: Despite anything to the contrary, to the maximum extent permitted by law:

  1. Becon Health’s maximum aggregate Liability arising from or in connection with these Terms (including the services Becon Health provides and/or the subject matter of these Terms) will be limited to, and must not exceed the aggregate amount of fees paid by a User to Becon Health during the three-month period immediately preceding the event that gave rise to the Liability or $100 if no such fees have been paid; and
  2. Becon Health will not be liable to a User for any loss of profit (including anticipated profit), loss of benefit (including anticipated benefit), loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings (including anticipated savings), loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.
  3. Despite anything to the contrary, to the maximum extent permitted by law, Becon Health will have no Liability, and a User releases and discharges Becon Health from all Liability, arising from or in connection with any: 
    1. event or circumstance beyond Becon Health’s reasonable control;
    2. acts or omissions of a User or a User’s Personnel;
    3. any defect, error, omission, lack of functionality or suitability (or the absence of, or reduction in, any anticipated result, outcome or benefit), inaccessibility of, interruption or outage with respect to the Platform;
    4. use of the Platform and/or Content;
    5. interaction a User has with other Users whether in person or online;
    6. Content which is incorrect, incomplete or out-of-date; or
    7. breach of these Terms or any law.
  4. Users agree that, to the maximum extent permitted by law, these Terms exclude all terms, conditions and warranties implied by statute, in fact or on any other basis, except to the extent such terms, conditions and warranties are fully expressed in these Terms.
  5. This clause will survive the termination or expiry of these Terms.

Indemnity: To the maximum extent permitted by law, Users must indemnify Becon Health, and hold Becon Health harmless, against any Liability suffered by Becon Health arising from or in connection with a User’s use of the Platform or any breach of these Terms or any applicable laws by the User. This indemnity is a continuing obligation, independent from the other obligations under these Terms, and continues after these Terms end.  It is not necessary for Becon Health to suffer or incur any Liability before enforcing a right of indemnity under these Terms.

Consumer Guarantees

  1. Certain legislation including the Australian Consumer Law (ACL) in the Competition and Consumer Act 2010 (Cth), and similar consumer protection laws and regulations may confer a User with rights, warranties, guarantees and remedies relating to our provision of Becon Health’s services which cannot be excluded, restricted or modified (Statutory Rights).

  2. Nothing in these Terms excludes a User’s Statutory Rights as a consumer under the ACL. 

  3. The services provided by an Allied Health Provider may also confer a Client with certain Statutory Rights.

Termination

  1. Users may cancel their Account and terminate these Terms at any time via the “Cancel Account” feature (or similar) on the Platform or by sending Becon Health an email to the address at the end of these Terms. Users can also deactivate their Account at any time via the Platform.
  2. If an Allied Health Provider cancels their Account, any Bookings will be automatically cancelled and relevant Clients will receive a full refund of the Booking Fee.
  3. If a Client cancels their Account, then the Booking Fee for any Bookings will be automatically refunded, unless the Account is cancelled within 48 hours of the time an Booking is due to take place.
  4. Becon Health may terminate these Terms for convenience at any time by giving Users 30 days’ notice via email to the email address in a User’s Account.
  5. At Becon Health’s sole discretion, Becon Health may suspend a User’s Account or terminate these Terms immediately without notice if (i) a User is in breach of these Terms, any applicable laws, regulations or third party rights (ii) as an Allied Health Provider, Listings at any time fail to meet any applicable quality or eligibility criteria, (iii) the Allied Health Provider has received poor Testimonials or Ratings, (iv) the Allied Health Provider’s professional registration lapses or is otherwise terminated or (v) Becon Health has received complaints about the Allied Health Provider including due to repeated cancellations of Bookings.
  6. If Becon Health suspends a User’s Account or terminate these Terms, Becon Health will cancel any existing Bookings and in the case of an Allied Health Provider breach, refund the relevant Clients, and in the case of a Client breach, a Client will lose any amounts paid.

Dispute

  1. Becon Health encourages Allied Health Providers and Clients to attempt to resolve disputes (including claims for returns or refunds) directly. Becon Health may provide Users with access to a third party dispute resolution service via Assembly Payments. If Users have failed to resolve a dispute between themselves, they will be obliged to submit to the Assembly Payments dispute resolution proceedings. Assembly Payments may have additional terms and conditions and fees payable in relation to their dispute resolution proceedings and Users must comply with those terms and conditions and pay any relevant fees.
  2. In the event of any dispute arising from, or in connection with, these Terms which is not a dispute between Users (Dispute), the party claiming there is a Dispute must give written notice to the other party setting out the details of the Dispute and proposing a resolution. Within 7 days after receiving the notice, the parties must meet at least once to attempt to resolve the Dispute or agree on the method of resolving the Dispute by other means, in good faith.  All aspects of every such conference, except the fact of the occurrence of the conference, will be privileged. It is the responsibility of the parties to pay the costs of any alternative dispute mechanism chosen. If the parties do not resolve the Dispute or (if the Dispute is not resolved) agree on an alternate method to resolve the Dispute, within 21 days after receipt of the notice, the Dispute may be referred by either party (by notice in writing to the other party) to litigation.

Severance

If a provision of these Terms is held to be void, invalid, illegal or unenforceable, that provision must be read down as narrowly as necessary to allow it to be valid or enforceable. If it is not possible to read down a provision (in whole or in part), that provision (or that part of that provision) is severed from these Terms without affecting the validity or enforceability of the remainder of that provision or the other provisions in these Terms.

Jurisdiction

Your use of our Platform and these Terms are governed by the laws of Queensland, Australia.
